May 11, 2005

May 11, 2005 - National Semiconductor Corporation (NYSE:NSM) today announced the promotion of Chief Operating Officer Donald Macleod to the new position of President and Chief Operating Officer, effective at the start of the new fiscal year, May 30, 2005.

Macleod, 56, has served as National's executive vice president, COO and general manager of the product lines since 2001.  During the past three years, he has been a principal architect of the company's repositioning as an analog technology leader.  Prior to becoming COO, Macleod served as executive vice president and chief financial officer (CFO) for 10 years.

"This is an extremely well deserved promotion," said Brian L. Halla, National's chairman and chief executive officer. "Donnie has consistently succeeded in every role we've asked him to take on at National.  In his new expanded position, he will continue to lead the execution of our ongoing high performance analog strategy enabling us to maximize returns for our shareholders."

As president and COO, Macleod will drive National's operational activities, including sales, manufacturing, technology development and business systems.  He will also continue to manage the company's product groups.

"I am honored to accept this position," Macleod said. "As a focused analog company, National has already demonstrated that it has tremendous opportunities for growth in broad-based electronics markets and consumer products that are increasingly differentiated by their high performance analog content."

Macleod joined National in 1978 from the accounting firm of KPMG Peat Marwick.  Over the next two decades, he accumulated global experience serving in senior leadership positions in finance, operations and marketing for National in England, Scotland, Germany and the United States.

A native of Scotland, Macleod holds a Bachelor of Arts degree in economics from the University of Stirling in Scotland. He is a member of the Institute of Chartered Accountants of Scotland and a board member and former president of the Cupertino (Calif.) Education Endowment Foundation.
Macleod and his wife, Mary, have three sons.
